About the position To support our growing and evolving set of business lines, we are seeking a skilled and collaborative corporate governance lawyer to join our Legal team. This role will provide legal advice and guidance on a wide range of governance matters touching Vanguard and its affiliates. Responsibilities • Serve as a subject matter expert and trusted legal advisor to teams across the Vanguard enterprise on corporate governance matters. • Provide strategic legal guidance in collaboration with regulatory subject matter experts and compliance and risk partners. • Onboard new directors, organize and facilitate board and committee meetings, curate agendas, prepare minutes, and draft, review, and/or approve documents related to corporate governance matters. • Manage legal entities and maintain corporate records. • Liaise with and lead communications among boards of directors, senior management, and other stakeholders while upholding strict confidentiality and diplomacy standards. • Manage, coordinate, and supervise work performed by outside counsel. • Review and evaluate outside counsel invoices. • Maintain a high level of expertise in applicable areas of the law, Vanguard's businesses and products, and the investment industry. • Stay abreast of legal, regulatory, and industry developments affecting Vanguard. • Maintain affiliations with relevant associations. • Build and maintain an external network and stay current on industry trends and best practices. • Support the development and substantive work of legal analysts on the team. Requirements • Minimum eight years of combined legal education and experience with four to six years of relevant experience at a law firm or in a corporate legal department. • Undergraduate degree or equivalent combination of training and experience. • Law degree (JD) preferred. • Excellent undergraduate and law school academic credentials. • General corporate governance and legal entity management experience. • Experience presenting to executive audiences and demonstrated ability to influence, persuade, and build consensus. • Exceptional judgment, self-awareness, and communication and stakeholder management skills. • Ability to balance business and legal needs and manage multiple high-priority projects.
