About the role: As a Corporate Governance Specialist, you will provide strategic support and advice on all corporate governance matters relating to the Company. You will manage our global corporate governance actions and requirements, including compliance with applicable laws and regulations in multiple jurisdictions. You will report to the Senior Counsel, IP, Corporate Governance and Strategic Transactions and be located at Cranberry Township, PA location. This is a hybrid role. Responsibilities • Lead all corporate governance actions for the global enterprise. This includes working with company partners and external counsel. It also involves managing corporate governance policies and procedures. • Prepare and maintain corporate records, and preparing and completing corporate filings. Lastly, it involves collaborating with Finance, Treasury, Tax, and Global Teams. • Project oversight and management of all corporate governance matters, databases and projects. • Prepare agendas and materials for all Board and Committee meetings, including collaborating with members of senior management in developing and reviewing materials provided to the Board and Committees. • Track Board and Committee meeting attendance and prepare/maintain corresponding minute books. • Ensure compliance with corporate governance best practices. • Coordinate director and officer signatures and company seal requests. • Provide support and analysis as directed by the Corporate Secretary and Chief Legal Officer. • Respond to different requests for corporate governance information, including Ultimate Beneficial Owner (UBO) and Know-Your-Client (KYC) requests. • Maintain entity records, filings, and corporate documents for domestic and international subsidiaries. • Travel domestically and internationally on an as-needed basis.
